Terms and Conditions

1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the website located at signoresearchgroup.com (the "Site"), your purchase of tickets and related products through the Site, and your attendance at any event sold through the Site.
In these Terms:
- "Signo," "we," "our," and "us" refer collectively to Signo Research Group LLC, a Florida limited liability company with its principal place of business at 3817 Englewood Street, Fort Myers, Florida 33901 (the operator of the Site and the seller of Tickets), and Azazel_ver1.0.0 LLC, a Florida limited liability company with its principal place of business at 3817 Englewood Street, Fort Myers, Florida 33901 (the producer and organizer of the Event).
- "You," "your," and "Attendee" refer to any person who accesses the Site, purchases a Ticket, receives or claims a Ticket, or attends an Event.
- "Ticket" means any entry token, pass, wristband, table reservation, or other admission credential purchased through or issued by the Site.
- "Event" means any event, performance, gathering, or experience offered for sale through the Site, including without limitation RAVE_Initiation.html scheduled for May 30, 2026 at Charlotte County Fair Association in Port Charlotte, Florida.
By accessing the Site, purchasing a Ticket, receiving or claiming a Ticket, or attending an Event, you agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree to these Terms, do not use the Site, do not purchase a Ticket, and do not attend the Event.
2. Eligibility
You must be at least 18 years of age to purchase a Ticket, claim a transferred Ticket, create an account, or attend an Event. By using the Site or attending an Event, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract.
Attendees under 18 years of age will be refused entry and no refund will be issued. Valid government-issued photo identification is required for entry. We reserve the right to refuse entry to any person who cannot produce satisfactory identification or whose identification does not match the name associated with the Ticket.
3. Account Registration and Phone Verification
Purchase and management of Tickets requires a verified user account associated with a valid United States mobile phone number. You agree to:
(a) Provide accurate, current, and complete information during registration;
(b) Maintain and promptly update your account information;
(c) Keep your account credentials confidential and not share access with any other person;
(d) Accept responsibility for all activities that occur under your account.
We use Twilio, Inc. for phone verification via one-time SMS codes. Consent to receive these transactional messages is required to complete verification but is limited to that purpose. Users may optionally consent to receive additional marketing SMS as described in Section 3.5 below; that consent is separate, optional, and not a condition of account creation, verification, or purchase. See Section 5 of our Privacy Policy for full details on our SMS messaging program and data handling.
We reserve the right to suspend, disable, or terminate any account we reasonably believe is being used in violation of these Terms.
3.5 SMS Messaging Program
The Site operates an SMS messaging program with two categories of messages:
Transactional SMS: One-time verification codes sent via Twilio when you initiate an action that requires phone verification (account creation, sign-in, ticket claim). These messages are required to complete those actions.
Optional Marketing SMS: Recurring text messages from Signo Research Group about events, updates, and announcements. Marketing SMS is sent only to users who affirmatively consent by checking the dedicated SMS opt-in checkbox on the participation form or the ticket-claim form. Marketing SMS consent is optional and is not required to register, verify, or purchase tokens.
Message frequency varies based on event scheduling. Standard message and data rates may apply, based on your carrier plan.
To stop marketing SMS, reply STOP to any marketing message. This will stop future marketing messages but will not affect your account, your access, or your ability to receive verification codes. Reply HELP for assistance.

4. Ticket Sales and Pricing
4.1 Pricing Tiers
Ticket prices are displayed on the Site at the time of purchase and may vary by tier, quantity sold to date, or applicable promotional code. All prices are listed in United States Dollars. We reserve the right to modify prices, tier thresholds, and promotional availability at any time, provided that such modifications shall not affect the price of Tickets already purchased.
4.2 Promotional Codes
Promotional codes are valid only for the campaigns and persons to whom they are distributed, may not be combined with other offers unless expressly permitted, and may be modified, limited, or revoked at any time for any reason.
4.3 Taxes
Prices displayed may or may not include applicable state or local sales tax as permitted or required by law. Any tax obligations arising from ticket sales are the responsibility of the seller unless otherwise specified.
4.4 Order Accuracy
You are responsible for verifying the accuracy of your order, including quantity, tier, and promotional codes applied, before completing payment. We are not obligated to honor orders placed in error.
5. Payment Processing
5.1 Payment Processor
All payments are processed by Stripe, Inc. ("Stripe"). By submitting payment information, you agree to Stripe’s Terms of Service and Privacy Policy, available at stripe.com.
5.2 No Storage of Card Data
We do not store full payment card numbers, CVV codes, or bank account numbers on our servers. Payment information is transmitted directly to Stripe in compliance with Payment Card Industry Data Security Standards.
5.3 Accepted Payment Methods
We currently accept payment by credit card, debit card, Apple Pay, Google Pay, and United States bank debit. Available payment methods may change without notice.
5.4 Failed Transactions
If your payment fails, is declined, or is later reversed by your payment provider, any Tickets issued in connection with the failed payment may be invalidated, and you may be denied entry to the Event.
5.5 Unauthorized Transactions
If you believe an unauthorized transaction has occurred on your account, contact us immediately at support.signoresearchgroup@gmail.com. You are responsible for maintaining the confidentiality of the device, email account, and phone number associated with your account.
6. Ticket Delivery, Access, and Check-In
6.1 Digital Delivery
Tickets are delivered digitally to your account on the Site and accessible only through your authenticated dashboard. No physical or mailed tickets will be issued.
6.2 QR Code and Entry Token
Each Ticket consists of a unique six-character alphanumeric code displayed alongside a QR code in your dashboard. The QR code, when scanned at Event check-in, verifies the validity of your Ticket.
6.3 Check-In Requirements
At check-in, you must present:
(a) A device displaying your Ticket’s QR code, or your six-character Ticket code verbally or in writing;
(b) Valid government-issued photo identification matching the name on your account;
(c) Such additional information as may be required, including confirmation of your phone number.
Failure to present any required item may result in denial of entry without refund.
6.4 One-Time Use
Each Ticket admits one person and may be used only once. Once scanned for entry, a Ticket is marked used and cannot be reused, transferred, or refunded.
6.5 Lost or Inaccessible Tickets
Responsibility for accessing your Ticket at the Event is yours. Factors such as phone battery depletion, device malfunction, network unavailability, or loss of account access are not our responsibility, though we will make reasonable efforts to assist at our discretion.
7. Ticket Transfers
7.1 Platform-Only Transfers
Tickets may be transferred to another person only through the Site’s built-in transfer mechanism, which generates a unique claim link. The recipient must complete phone verification and agree to these Terms before the transfer is finalized.
7.2 Prohibited Resale and Unauthorized Transfer
You may not sell, resell, trade, auction, barter, advertise, or otherwise transfer a Ticket outside of the Site’s transfer mechanism. Tickets obtained through unauthorized channels may be invalidated without notice and without refund to any party. We reserve the right to refuse entry to any person presenting a Ticket we reasonably believe was obtained through unauthorized transfer.
7.3 No Resale Above Face Value
Tickets may not be sold or transferred for any consideration exceeding the original purchase price of the Ticket, inclusive of any fees paid. This prohibition applies whether the consideration is money, goods, services, or otherwise.
7.4 Cancellation of Pending Transfers
A pending transfer that has not been claimed may be cancelled by the original holder at any time before claim, returning the Ticket to the holder’s account. A claimed transfer is final and cannot be reversed except through a new transfer initiated by the new holder.
8. No Refunds
ALL TICKET SALES ARE FINAL. EXCEPT AS EXPRESSLY PROVIDED IN SECTION 9 (EVENT CANCELLATION, POSTPONEMENT, AND RESCHEDULING), NO REFUNDS WILL BE ISSUED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO:
- Your inability to attend the Event for any reason;
- Change of mind;
- Denial of entry pursuant to Section 11 or 12;
- Ejection from the Event pursuant to Section 12;
- Performer substitution, schedule change, or set-time change at the Event;
- Loss of access to your account or Ticket;
- Dissatisfaction with any aspect of the Event.
You expressly acknowledge that you are purchasing the Ticket under a strict no-refund policy and that this policy has been a material inducement to us in setting the price of the Ticket.
9. Event Cancellation, Postponement, and Rescheduling
9.1 Cancellation
If we cancel the Event in its entirety and the Event is not rescheduled within twelve (12) months of the originally scheduled date, you will be entitled to a refund of the original purchase price of your Ticket, excluding any service or processing fees, promotional discounts, or non-recoverable costs. No further damages, consequential losses, or incidental costs (including without limitation travel, lodging, or lost wages) will be compensated.
9.2 Postponement or Rescheduling
If we postpone or reschedule the Event to a new date within twelve (12) months of the originally scheduled date, your Ticket will remain valid for the rescheduled date. If you cannot attend the rescheduled date, you may request a refund within fourteen (14) days after public announcement of the new date, subject to the limitations in Section 9.1.
9.3 Partial Performance
If the Event proceeds in modified form (for example, with a substitution of performers, reduction of set times, or relocation to an alternate venue), the Ticket shall remain valid and no refund will be issued. Changes to lineup, schedule, production elements, or venue within the same general area are common, are not grounds for refund, and are expressly agreed to be immaterial changes.
9.4 Force Majeure Cancellation
If the Event is cancelled, postponed, or materially modified due to a Force Majeure event as defined in Section 10, the refund policy shall be governed by Section 10, and not Section 9.1.
10. Force Majeure
10.1 Definition
"Force Majeure" means any cause beyond our reasonable control that prevents or materially impairs our performance under these Terms, including without limitation: acts of God; fire; flood; earthquake; hurricane; tornado; storm; natural disaster; epidemic; pandemic; quarantine; public health emergency; act of terrorism; war (declared or undeclared); civil unrest; riot; strike; labor dispute; government order, regulation, or restriction; loss of the venue or necessary permits or licenses; failure of utilities or infrastructure; cancellation or no-show of performers due to illness, injury, or other cause; and any other event or circumstance of a similar character.
10.2 Weather
Weather conditions, including but not limited to rain, heat, humidity, wind, cold, and lightning in the vicinity but not affecting the venue, are expressly EXCLUDED from Force Majeure. You assume all risk of discomfort, inconvenience, or non-attendance arising from weather that does not force closure of the venue.
10.3 Refund Policy Under Force Majeure
In the event of a Force Majeure cancellation, postponement, or material modification, we will use commercially reasonable efforts to reschedule or otherwise deliver the Event. If we cannot do so, we may, in our discretion, issue a refund equal to the purchase price less any non-recoverable costs we have incurred (including without limitation venue deposits, artist deposits, production costs, and insurance premiums). In no event shall our refund obligation under Force Majeure exceed the purchase price of the Ticket, and we shall have no obligation to compensate for any consequential, incidental, or related losses.
11. Entry Conditions and Rules of Conduct
11.1 Age Requirement
The Event is restricted to persons aged 18 years and older. Valid government-issued photo identification is required for entry.
11.2 Search and Inspection
All Attendees are subject to search of their persons and belongings at entry and throughout the Event. By entering, you consent to such searches. Refusal to consent to search will result in denial of entry or ejection without refund.
11.3 Prohibited Items
The following are prohibited at the Event and may be confiscated without compensation:
(a) Weapons of any kind, including firearms, knives, pepper spray, brass knuckles, and any item that could be used as a weapon;
(b) Illegal drugs or controlled substances;
(c) Drug paraphernalia;
(d) Outside alcohol;
(e) Glass containers;
(f) Fireworks, flares, or other incendiary devices;
(g) Laser pointers;
(h) Professional photography, video, or audio recording equipment without prior written authorization;
(i) Drones or other unmanned aerial vehicles;
(j) Any item we reasonably determine poses a safety risk or is inappropriate for the Event.
11.4 Prohibited Conduct
The following conduct is prohibited and may result in ejection without refund and, where appropriate, criminal referral:
(a) Violence, threats, or intimidation toward any person;
(b) Harassment, including sexual harassment, based on race, gender, sexual orientation, gender identity, religion, national origin, disability, or any other characteristic;
(c) Use, possession, or distribution of illegal drugs;
(d) Operation under the influence to a degree that endangers the Attendee or others;
(e) Theft, vandalism, or destruction of property;
(f) Unauthorized entry into restricted areas, including backstage, artist green rooms, and production zones;
(g) Selling goods or services without authorization;
(h) Distributing promotional materials for unrelated events or businesses;
(i) Any violation of applicable federal, state, or local law.
11.5 Right to Refuse Entry and Right to Eject
We reserve the right, in our sole discretion, to refuse entry to or eject from the Event any person for any lawful reason, including without limitation the reasons set forth in Sections 11.3 and 11.4. Persons denied entry or ejected are not entitled to any refund.
11.6 Re-Entry
Depending on operational considerations, re-entry may or may not be permitted. Re-entry policies will be communicated at the venue and are subject to change without notice.
12. Intoxicants and Alcohol
12.1 Alcohol Service by Third Parties
Alcoholic beverages, if sold at the Event, are sold and served by licensed third-party vendors operating independently under their own state and local alcohol permits. We do not directly sell or serve alcohol at the Event. Alcohol transactions are governed by the vendors’ own policies and applicable law, including without limitation Florida Statutes Chapter 562.
12.2 Age Requirement for Alcohol
Alcohol may be sold only to persons twenty-one (21) years of age or older. Valid government-issued photo identification is required. Attempting to purchase or consume alcohol under the legal drinking age is a violation of these Terms and of Florida law, and may result in ejection and referral to law enforcement.
12.3 Responsible Consumption
You are solely responsible for your consumption of alcohol and any other substances. We and the alcohol vendors reserve the right to refuse service to any person for any lawful reason, including apparent intoxication. You assume all risk of injury, illness, or loss arising from your voluntary consumption of alcohol.
12.4 Illegal Substances
Use, possession, or distribution of illegal drugs or controlled substances at the Event is strictly prohibited and will result in ejection and, where appropriate, referral to law enforcement.
12.5 Driving Under the Influence
Do not operate a motor vehicle under the influence of alcohol or any impairing substance. We strongly encourage Attendees to use rideshare, public transit, a designated driver, or to remain at appropriate lodging. We assume no responsibility for Attendees’ transportation decisions.
13. Assumption of Risk
13.1 Acknowledgment of Inherent Risks
You expressly acknowledge that attending the Event involves known and unknown risks, hazards, and dangers that cannot be eliminated regardless of the care taken to avoid them. These risks include, without limitation:
(a) Exposure to high-volume sound that may cause temporary or permanent hearing loss or damage, including noise-induced hearing loss (NIHL). We strongly recommend the use of hearing protection throughout the Event;
(b) Exposure to strobe lights, pulsing lights, lasers, and other visual effects that may trigger photosensitive epileptic seizures, migraines, nausea, disorientation, or other adverse neurological or physiological reactions in susceptible persons. If you have or suspect you have a photosensitive condition, you should not attend;
(c) Crowd conditions, including proximity to other persons, risk of jostling, pushing, falling, trampling, and crowd crush; difficulty moving freely or exiting quickly; and heightened risk of injury in densely populated areas;
(d) Physical exertion, including standing for extended periods, walking on uneven surfaces, dancing, jumping, and other strenuous physical activity;
(e) Environmental conditions, including heat, humidity, cold, rain, wind, dust, smoke, fog, haze, and other atmospheric effects used in the production;
(f) Intoxicated or impaired persons in the vicinity and the associated risks of unpredictable behavior, accidental injury, or altercation;
(g) Exposure to infectious disease, including but not limited to respiratory illness, spread in crowded settings;
(h) Loss, theft, or damage to personal property;
(i) Cancellation, delay, or modification of the Event;
(j) Injury, illness, emotional distress, or death resulting from any of the foregoing or from other causes.
13.2 Voluntary Assumption
YOU VOLUNTARILY AND EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH ATTENDING THE EVENT, WHETHER KNOWN OR UNKNOWN, INHERENT OR OTHERWISE. YOU AGREE THAT YOUR ATTENDANCE IS ENTIRELY AT YOUR OWN RISK.
13.3 Release
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE SIGNO, AZAZEL, THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATED PERFORMERS, VENDORS, SPONSORS, AND THE VENUE (COLLECTIVELY, THE "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, LIABILITIES, DEMANDS, CAUSES OF ACTION, DAMAGES, AND EXPENSES ARISING OUT OF OR RELATED TO THE RISKS DESCRIBED IN THIS SECTION 13, EXCEPT TO THE EXTENT CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF A RELEASED PARTY.
13.4 Applicability to Minors and Others
If for any reason you accompany or bring another person to the Event, you represent that you have authority to bind that person to these Terms, and you agree to indemnify the Released Parties for any claims brought by or on behalf of that person to the same extent you have released claims on your own behalf.
14. Media Release and Publicity
14.1 Consent to Recording
By attending the Event, you acknowledge and consent that the Event will be recorded, photographed, filmed, live-streamed, and otherwise documented. You may be captured in audio, video, or photographic form individually or as part of a crowd.
14.2 Grant of Rights
You grant to us, our successors, assigns, licensees, and affiliates, a perpetual, worldwide, royalty-free, fully paid, irrevocable, sub-licensable right and license to use, reproduce, display, distribute, modify, and create derivative works of your likeness, voice, image, and statements captured at the Event, in any and all media now known or hereafter developed, for any purpose, including without limitation advertising, promotion, marketing, and commercial exploitation.
14.3 No Compensation
You acknowledge that you will receive no compensation, attribution, or approval rights in connection with the use of such materials, and you waive any right to inspect or approve any use.
14.4 Your Recording
You may make personal, non-commercial recordings of the Event using a mobile phone or similar consumer device, provided that such recording does not interfere with other Attendees and complies with any posted or announced restrictions. Commercial recording, including by professional photographers and videographers, requires prior written authorization from us.
15. Intellectual Property
15.1 Our Intellectual Property
All content on the Site and at the Event, including without limitation the names "Signo Research Group," "Signo," "Azazel," "RAVE_Initiation," associated logos, design elements, artwork, posters, promotional materials, lineup graphics, written content, audiovisual materials, and the selection and arrangement thereof, is the property of Signo Research Group LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
15.2 Limited License
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site solely for the purpose of purchasing and managing Tickets and attending the Event. This license does not include any right to:
(a) Reproduce, distribute, publicly display, or create derivative works of our content except as necessary for your personal use;
(b) Use any automated means to access or scrape the Site;
(c) Reverse engineer any aspect of the Site;
(d) Use our trademarks, logos, or branding without express written consent;
(e) Frame or mirror any part of the Site.
15.3 Performer Content
Artists performing at the Event retain their own intellectual property rights in their performances and materials. You agree to respect those rights and comply with any performer-specific restrictions announced at or before the Event.
16. Limitation of Liability
16.1 No Warranties
THE SITE, THE EVENT, AND ANY RELATED SERVICES OR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
16.2 Cap on Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, THE TICKET, OR THE EVENT EXCEED THE AMOUNT YOU PAID FOR THE TICKET GIVING RISE TO THE CLAIM.
16.3 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUES, LOST DATA, LOST OPPORTUNITIES, EMOTIONAL DISTRESS (EXCEPT TO THE EXTENT ACCOMPANYING COGNIZABLE BODILY INJURY), OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, THE TICKET, OR THE EVENT, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.4 Exceptions
Nothing in this Section 16 limits liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or fraud.
16.5 Basis of the Bargain
You acknowledge that the limitations in this Section 16 are an essential element of the bargain between you and us, and that in their absence the economic terms of these Terms would be substantially different.
17. Indemnification
You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) Your breach of these Terms;
(b) Your violation of any applicable law or the rights of any third party;
(c) Your conduct at the Event, including any injury or damage caused by you to other persons or property;
(d) Your content, statements, or communications, including any statements made on social media or to media outlets regarding the Event;
(e) The use of your account by any other person, whether or not authorized by you.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
18. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
18.1 Informal Dispute Resolution
Before commencing any formal proceeding, you agree to notify us in writing at support.signoresearchgroup@gmail.com of any dispute and to attempt in good faith to resolve the dispute through informal negotiation for a period of at least sixty (60) days. Most disputes can be resolved this way.
18.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Ticket, or the Event that is not resolved through informal negotiation shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the arbitration is commenced. The arbitration shall be conducted by a single arbitrator, shall be held in Lee County, Florida or, at your election, virtually, and shall be in the English language. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
18.3 Class Action Waiver
YOU AND WE EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU AND WE EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR CONSOLIDATED ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR TO ARBITRATE ANY CLASS OR REPRESENTATIVE ACTION.
18.4 Exceptions to Arbitration
The following disputes are not subject to arbitration:
(a) Small-claims court actions within the jurisdictional limit of such court;
(b) Actions to protect intellectual property rights;
(c) Actions for temporary or preliminary injunctive relief.
18.5 Opt-Out
You may opt out of arbitration and the class action waiver by sending written notice to support.signoresearchgroup@gmail.com within thirty (30) days of first accepting these Terms. The notice must include your full name, the phone number associated with your account, and a clear statement that you are opting out. Opting out will not affect any other provision of these Terms.
18.6 Severability of Arbitration Provisions
If the class action waiver in Section 18.3 is found unenforceable as to any claim, that claim shall be severed and proceed in court, but the remainder of this Section 18 shall remain enforceable.
19. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. For any dispute not subject to arbitration pursuant to Section 18, you and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Lee County, Florida.
20. Assignment
You may not assign or transfer these Terms or any rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent; any attempt to do so shall be null and void. We may freely assign these Terms, in whole or in part, to any successor entity, affiliate, or third party. Ticket transfers effected through the Site’s transfer mechanism pursuant to Section 7 are not deemed assignments of these Terms.
21. Severability, Waiver, and Entire Agreement
21.1 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.
21.2 No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative.
21.3 Entire Agreement
These Terms, together with the Privacy Policy and any policies expressly incorporated herein, constitute the entire agreement between you and us regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
22. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will provide notice by posting the updated Terms on the Site and updating the "Last Updated" date above. Your continued use of the Site or attendance at any Event after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site and may request a refund of any Ticket not yet used, subject to our then-current refund policy.

24. Miscellaneous
24.1 Relationship of the Parties
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us. Neither party has the authority to bind the other.
24.2 Third-Party Beneficiaries
The Released Parties identified in Section 13.3 are intended third-party beneficiaries of the release, indemnification, and limitation of liability provisions of these Terms and may enforce them directly.
24.3 Force of Electronic Communication
You consent to the use of electronic communications, including email, SMS, and in-Site notifications, for all purposes under these Terms, including the delivery of notices, disclosures, and agreements. You acknowledge that records maintained electronically satisfy any legal requirement for a written record.
24.4 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
24.5 Language
These Terms are drafted in English, which shall be the controlling language in the event of any translation.
